Description

Corporate Governance:

Develop, implement, and continuously enhance the Company's Corporate Governance Framework in alignment with shareholder expectations, corporate objectives, and recognized governance best practices.
Review and maintain governance-related policies, charters, delegations of authority, and governance procedures.

Corporate Governance:

Develop, implement, and continuously enhance the Company's Corporate Governance Framework in alignment with shareholder expectations, corporate objectives, and recognized governance best practices.
Review and maintain governance-related policies, charters, delegations of authority, and governance procedures.
Coordinate governance reporting to Executive Management and Board Committees.
Monitor governance effectiveness and identify opportunities for continuous improvement.
Governance maturity assessments and improvement initiatives.
Work closely with Enterprise Risk Management and Internal Audit.
Monitor governance and compliance risks.
Support development of internal control frameworks.
Ensure effective remediation\closures of audit findings.
Track management action plans and closure status.

Corporate Performance measures

Translate strategy into prioritized set of strategic initiatives and oversee governance structure to ensure execution.
Work with department managers to create prioritized list of annual initiatives in line with the business unit and corporate strategy.
Oversee business unit corporate governance process to track progress versus initiatives (monthly meetings, reporting, etc.).
Develop recommendation to establishes the metrics required to measure business performance and recommends the go-forward to address performance gaps.
Devise development of Key Performance Indicators for the Corporate Governance Function and monitor, evaluate on regular basis.

Awareness & Training

Develop and implement an annual governance, compliance, ethics, and policy awareness plan aligned with the Company's strategic objectives and compliance priorities.
Coordinate the annual governance, compliance, ethics, and risk awareness sessions provided by the Group
Serve as the focal point between the Company and the Group\shareholders for governance, compliance, and risk-related awareness initiatives.
Coordinate and facilitate awareness sessions on Company policies, procedures, and governance requirements in collaboration with the relevant departments, ensuring employees understand their roles, responsibilities, and compliance obligations.

Advising the management on the rules, guidelines for the orderly allocation and use of radio frequencies in alignment with the master chart of frequencies. On allocation of frequencies, determination of requirements of project ,in coordination with the department managers work with relevant authorities to secure license
