Purpose

The primary objective of this role is to ensure that the corporate governance function at Omran Group OM is aligned with the strategic plan for corporate operations, as mandated by the Board. This includes developing systems and procedures designed to structure authority, balance responsibility, and provide accountability to stakeholders at all levels, including subsidiaries. Additionally, managing compliance with OIA policies is a key aspect of this position.

Responsibilities

Strategic Contribution

  • Develop an annual strategic governance management plan that outlines key objectives and strategies.
  • Create policies and procedures related to corporate governance, in line with the Board's mandate.
  • Manage regulatory compliance requirements and various stakeholder relationships, including internal management, subsidiaries, and OIA compliance teams.

People

  • Perform routine administrative tasks required of governance and compliance professionals.
  • Act as an effective team member in supporting the unit in ensuring daily tasks are completed accurately.
  • Seek guidance from the Head when necessary.
  • Foster a culture of teamwork, cooperation, and continuous self-development within the unit.

Continuous Improvement

  • Identify opportunities for continuous improvement of systems, processes, and practices, taking into account international leading practices, business process improvement, cost reduction, and productivity enhancement.

Policies, Systems, Processes & Procedures

  • Maintain policies and procedures related to risk and compliance.
  • Ensure compliance with approved policies, procedures, and standards by the team and support the achievement of quality standards across the organization.

Operational

Governance

  • Contribute to identifying opportunities for continuous improvement of corporate governance systems, processes, and practices, considering OIA policies and guidelines, as well as international leading practices.
  • Maintain approved policies and procedures manuals for all departments within Omran Group OM and its subsidiaries.
  • Ensure essential guidelines are implemented accurately, adhering to industry and company rules and regulations.
  • Assist the department head in ensuring policy implementation and monitoring responsibilities are assigned to the business owner of the policy and procedures.
  • Communicate approved policies to relevant stakeholders.
  • Ensure workflows in company systems (automated or manual) align with governing policies.
  • Inform senior management about regulatory, legislative, and best practice changes and their obligations under these changes and how they impact the group.
  • Raise awareness and manage change through internal channels, meetings, and workshops, emphasizing the importance of governance and compliance.
  • Conduct business process re-engineering and process improvements.
  • Identify opportunities for process digitization and automation.

Compliance

  • Manage regulatory compliance policies and procedures for Omran Group OM and its subsidiaries, in coordination with corporate governance operations.
  • Develop action plans related to compliance, measuring and analyzing results, initiating corrective actions, and minimizing variances.
  • Identify areas for improvement in Omran Group OM's compliance systems, processes, and practices, considering international leading practices.
  • Avoid legal challenges by understanding current and proposed legislation, enforcing regulations, recommending new procedures, and complying with legal requirements in coordination with the legal department.
  • Provide support, education, and training to staff to build compliance awareness within the organization.

Education & Experience

  • Bachelor's Degree in Business Management or Law.
  • Minimum 8 years of experience in a related field.
  • Professional Certificate in governance/compliance will be preferable.
  • Experience working in the Development, Investment, and Asset Management industry will be preferable.
  • Proven ability to interface directly with Board members and CEOs.
